Veriqa Corporate Contributor License Agreement
This Corporate Contributor License Agreement (the Agreement) is between the organization accepting it (Corporation) and Dmitrii Erusov, together with his successors and assigns (Licensor). How to accept this Agreement is described in the CONTRIBUTING.md file of every Veriqa repository; the version accepted is the version shown at the top of this page.
1. Authorized Contributors and Contributions
Corporation designates the employees and contractors listed in Schedule A (Authorized Contributors) as authorized to submit Contributions on its behalf. Corporation may update Schedule A at any time by notice to devs@veriqa.app from the representative who accepted this Agreement or from the CLA contact named in Schedule A; an update takes effect when Licensor acknowledges it. Licensor may rely on the current Schedule A. A submission by a person not on Schedule A is not covered by this Agreement until Corporation adds that person; Licensor may decline such a submission in the meantime. Removing a person from Schedule A does not affect Contributions already submitted.
Project means the Veriqa software and documentation in any repository, package, image or channel that Licensor designates as part of Veriqa, including Veriqa Core, Veriqa Cloud and any future Veriqa component, under whatever license Licensor distributes it.
Contribution means any original work of authorship, modification, documentation or other material intentionally submitted by an Authorized Contributor for inclusion in, or documentation of, the Project by pull request, commit, patch, issue attachment, electronic communication or another designated channel. Material conspicuously marked "Not a Contribution" is excluded.
This Agreement applies to Contributions submitted before as well as after its acceptance, unless Licensor has agreed in writing that a particular earlier submission is excluded.
2. Copyright license
Corporation grants Licensor a perpetual, worldwide, non-exclusive, irrevocable, royalty-free, fully paid-up copyright license, with the right to sublicense and relicense through any number of tiers, to reproduce, prepare derivative works of, publicly display, publicly perform, distribute, make available, use, commercialize and otherwise exploit each Contribution in any form and under any license terms, including the Mozilla Public License 2.0, the Elastic License 2.0, other open-source and proprietary commercial terms.
Licensor may assign this Agreement and its rights to a successor or assignee of all or substantially all relevant Veriqa rights or business without further consent or new signatures from Corporation or Authorized Contributors.
3. Patent license
Corporation grants Licensor and recipients of software incorporating a Contribution a perpetual, worldwide, non-exclusive, irrevocable, royalty-free patent license to make, have made, use, offer to sell, sell, import and otherwise transfer the Contribution and combinations in which it is included, limited to patent claims controlled by Corporation that are necessarily infringed by the Contribution alone or by its combination with the Project as submitted. If Corporation institutes patent litigation alleging that the Contribution or such a combination infringes a patent, any patent licenses granted to Corporation for that work under the Project's outbound licenses terminate as of the filing date, to the extent those licenses so provide.
4. Representations and administration
Corporation represents that:
- it has authority to enter this Agreement and grant the stated rights;
- it owns or controls the rights in Contributions submitted on its behalf, or has obtained sufficient rights to grant these licenses;
- Authorized Contributors are permitted to submit the relevant work;
- third-party material is identified and governed by terms compatible with this Agreement; and
- Contributions do not knowingly include confidential information, trade secrets, malicious code or material submitted in breach of another obligation.
Corporation will notify Licensor promptly if any representation becomes inaccurate. Authorized Contributors may also be required to acknowledge an individual confirmation concerning identity, authority and third-party material, but no additional license is required for rights already granted by Corporation.
5. Moral rights and attribution
To the extent Corporation can do so, it waives and agrees not to assert moral rights or similar rights that would prevent exercise of the licenses. It will obtain equivalent consents from Authorized Contributors where reasonably necessary. Licensor may provide attribution but need not preserve a particular form except where applicable law requires it.
6. No obligation to use
Licensor may accept, reject, modify, remove, license or stop distributing any Contribution. This Agreement does not require use or distribution and does not transfer ownership of Contributions.
7. Acceptance and records
Acceptance by email to the address designated in CONTRIBUTING.md, or in any other form Licensor designates there, is intended to constitute Corporation's signature when made by a representative who states their name and title and confirms authority to bind Corporation; Licensor may request evidence of that authority. The acceptance record may include the representative's name, title, organization, contact details, the version of this Agreement accepted, the date and the current Schedule A. One acceptance covers all repositories of the Project.
8. General
This Agreement is the complete agreement concerning Contributions made on Corporation's behalf and may be amended only in a written or electronically accepted instrument. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. No failure to enforce is a waiver.
By accepting, the representative confirms authority to bind Corporation and agreement to these terms.
