Veriqa Individual Contributor License Agreement
This Individual Contributor License Agreement (the Agreement) is between the individual accepting it (You) and Dmitrii Erusov, together with his successors and assigns (Licensor). How to accept this Agreement is described in the CONTRIBUTING.md file of every Veriqa repository; the version accepted is the version shown at the top of this page.
1. Definitions
Project means the Veriqa software and documentation in any repository, package, image or channel that Licensor designates as part of Veriqa, including Veriqa Core, Veriqa Cloud and any future Veriqa component, under whatever license Licensor distributes it.
Contribution means any original work of authorship, modification, documentation or other material intentionally submitted by You for inclusion in, or documentation of, the Project by pull request, commit, patch, issue attachment, electronic communication or another channel designated for contributions. Material conspicuously marked "Not a Contribution" is excluded.
This Agreement applies to Contributions submitted before as well as after its acceptance, unless Licensor has agreed in writing that a particular earlier submission is excluded.
2. Copyright license
You grant Licensor a perpetual, worldwide, non-exclusive, irrevocable, royalty-free, fully paid-up copyright license, with the right to sublicense and relicense through any number of tiers, to reproduce, prepare derivative works of, publicly display, publicly perform, distribute, make available, use, commercialize and otherwise exploit each Contribution in any form and under any license terms, including the Mozilla Public License 2.0, the Elastic License 2.0, other open-source and proprietary commercial terms.
This license survives a change in project ownership. Licensor may assign this Agreement and the rights under it to a successor or assignee of all or substantially all relevant Veriqa rights or business, without obtaining a new signature from You.
3. Patent license
You grant Licensor and recipients of software incorporating Your Contribution a perpetual, worldwide, non-exclusive, irrevocable, royalty-free patent license to make, have made, use, offer to sell, sell, import and otherwise transfer the Contribution and combinations in which it is included, limited to patent claims necessarily infringed by Your Contribution alone or by its combination with the Project as submitted. If You institute patent litigation alleging that the Contribution or such a combination infringes a patent, any patent licenses granted to You for that work under the Project's outbound licenses terminate as of the filing date, to the extent those licenses so provide.
4. Representations
You represent that:
- You are legally entitled to grant these rights.
- The Contribution is Your original work or You have identified and have sufficient rights in all third-party material included in it.
- Your employer or another person does not own rights that prevent this Agreement; where necessary, You have obtained written permission.
- To Your knowledge, the Contribution does not intentionally include confidential information, trade secrets, malicious code or material whose governing terms conflict with this Agreement.
- Information You provide for CLA administration is accurate.
You are not required to provide support for a Contribution unless separately agreed.
5. Moral rights and attribution
To the extent permitted by law, You waive and agree not to assert moral rights or similar rights to prevent exercise of the licenses granted above. Where waiver is not permitted, You consent to acts reasonably necessary to exercise those rights. Licensor may provide attribution but is not required to preserve a particular form of attribution except where applicable law requires it.
6. No obligation to use
Licensor may accept, reject, modify, remove, license or stop distributing any Contribution. This Agreement does not require Licensor to use or distribute it and does not transfer ownership of Your Contribution.
7. Acceptance and records
Acceptance by email to the address designated in CONTRIBUTING.md, or in any other form Licensor designates there, is intended to constitute Your signature. The acceptance record may include Your name, email address, Your account on the code-hosting platform, the version of this Agreement accepted and the date. One acceptance covers all repositories of the Project.
8. General
This Agreement is the complete agreement concerning Contributions and may be amended only in a written or electronically accepted instrument. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. No failure to enforce is a waiver.
By accepting, You confirm that You have read and agree to this Agreement.
